1. Acceptance of Terms

By accessing or using the IdeaDunes Healthcare platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by IdeaDunes ("Company", "we", "us"). If you do not agree, do not use the Service.

2. Description of Service

IdeaDunes Healthcare is a Software-as-a-Service (SaaS) platform providing hospital management, electronic medical records, billing, scheduling, telemedicine, laboratory, pharmacy, and related healthcare management capabilities. Services include cloud hosting, technical support, data storage, and platform updates.

3. Account Registration

• You must provide accurate, complete registration information
• You are responsible for maintaining the security of your account credentials
• You must promptly notify us of any unauthorized access
• One person or organization may not maintain multiple free-tier accounts
• You must be at least 18 years old to create an account

4. Healthcare Compliance

As a healthcare technology provider:

• We act as a Business Associate under HIPAA where applicable
• We will execute a Business Associate Agreement (BAA) upon request from covered entities
• You are responsible for ensuring your use of the platform complies with local healthcare regulations
• Clinical decision support features are advisory only — clinical judgment rests with licensed practitioners
• You are responsible for obtaining patient consent for data processing as required by law

5. Subscription & Billing

• Subscriptions are billed monthly or annually as selected during signup
• Free trials are for 30 days with full access to plan features
• Prices are exclusive of applicable taxes (GST/VAT)
• We may change pricing with 30 days advance notice; existing subscriptions are honored until renewal
• Overdue invoices may result in service suspension after 15 days notice
• Refund policy: Pro-rata refund for annual plans within the first 30 days. Monthly plans are non-refundable.

6. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or attempt to extract source code (except as permitted by open-source license)
• Use the Service to store or transmit malicious code
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service in a manner that degrades performance for other users

7. Data Ownership

• You retain full ownership of all data you input into the platform
• We do not claim ownership of your patient records, clinical data, or business data
• You grant us a limited license to process your data solely for providing the Service
• Upon termination, you may export your data within 90 days

8. Uptime & SLA

We target 99.9% uptime for our cloud platform. Detailed SLA terms, credit policies, and maintenance windows are outlined in our Service Level Agreement.

9. Limitation of Liability

To the maximum extent permitted by law, IdeaDunes shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. The Service is a technology tool and does not provide medical advice — all clinical decisions remain the responsibility of licensed healthcare professionals.

10. Termination

• You may cancel your subscription at any time from the dashboard
• We may terminate accounts that violate these Terms after 7 days notice
• Upon termination, you have 90 days to export your data
• We will not delete data required by healthcare retention regulations

11. Governing Law

These Terms are governed by the laws of India, including the Information Technology Act 2000, the Digital Personal Data Protection Act 2023, and applicable healthcare regulations. Any disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India.

12. Open Source License

The IdeaDunes core platform is released under an open-source license. Third-party open-source components are attributed in our documentation. Premium modules and services are proprietary and subject to separate licensing terms. White-labeling and reselling rights require an Enterprise plan agreement.

13. Indemnification

You agree to indemnify and hold harmless IdeaDunes, its officers, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email and in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
